By registering as a User on the "PEER" platform, located at [https://peer.money](https://peer.money/) and its related apps (referred to as "the Platform"), you confirm that you have reviewed the terms and conditions of this User Agreement (hereinafter referred to as "the User Agreement"), agree to its terms, and commit to adhering to them. The term "the User" pertains to a natural person or a legal entity registered as a user of the Platform.When the User accepts this User Agreement, they affirm that they have carefully read it and consent to its enforceability upon them.
Scope and Interpretation of the User Agreement
The User Agreement governs all legal relationships between the User and the Service Provider.

Providing a platform for the User to utilize virtual currency wallet services, including key generation, storage, and transfer of virtual currencies.
Virtual Currency Wallet Service Terms
Upon the User's request, the Wallet Service Provider shall create a virtual currency wallet in the User's name (referred to as the "User Wallet").
The User is entitled to establish the User Wallet exclusively for virtual currency.
With the User Wallet in possession, the User has the right to conduct transactions through it, including:
1. Sending virtual currency from the User Wallet to another virtual currency wallet, as specified by the User.
2. Receiving virtual currency into the User's Wallet from another virtual currency wallet.
Transactions made with the User Wallet must adhere to the terms and conditions outlined in the User Agreement.
Transaction details and associated service fees are documented in the User Account statement, accessible electronically via the User Account or through an agreed-upon alternative method.
An order from the User to send virtual currency from the User Wallet must include, at a minimum, the following information:
The virtual currency wallet address to which the virtual currency will be sent from the User's Wallet.
The User bears full responsibility for their transactions. The Wallet Service Provider will not cover any losses resulting from errors made by the User during a transaction with the User Wallet, and completed transactions are not subject to modification or cancellation.
The User may request the closure of the User Wallet. However, the User Wallet can only be closed if there is no virtual currency remaining that can be sent from the User Wallet.
General
Both the Services and these Terms may be amended at our sole discretion and without prior notice. Any modified agreement will be posted on the Peer website. Your continued use of this Site and App after such changes will signify your acceptance of the updated end-user agreement and its associated terms and conditions.
This end-user agreement exclusively pertains to your access to and use of this Site and App and does not in any way alter the terms or conditions of any other agreement you may have with Peer for products, services, or otherwise.
The headings of the sections in these conditions are provided for convenience and reference but will not be used to interpret, modify, or expand upon the conditions’ terms.
No failure or delay by Peer in exercising any of its rights will be construed as a waiver of such right, whether done explicitly or implicitly. It will not impact the validity of any part of these Terms or prejudice our right to take subsequent action against the User.
Peer cannot review or edit all the content available on the Peer Site or App and does not accept any liability for illegal, defamatory, or obscene content. Users are encouraged to report any offensive or illegal content to Peer.
Please carefully read these Terms as they govern your access to and use of our services, including the Peer website (the “Site”) and any of our other websites, mobile application (the “App”), as well as any SMS, in-App, or email notifications (collectively, the “Services”). This also includes any information, text, links, graphics, photos, audio, videos, or other materials or arrangements of materials uploaded, downloaded, or appearing on the Services (referred to as “Content”). By using the Services, you (the “User”) agree to be bound by these Terms.
You may only use the Services if you agree to establish a legally binding contract with Peer and are not prohibited from receiving services under applicable jurisdictional laws. In any case, you must be at least 18 years old to use the Services.
If you are accepting these Terms and using the Services on behalf of a company, organization, government, or other legal entity, you affirm that you are authorized to do so and have the authority to bind such entity to these Terms. In such a case, the words “You/you”, “Your/your,” and “User” in these Terms refer to such entity.
Peer reserves the right at any time to alter or discontinue any aspect or feature of the Services, including, but not limited to, content, access, or the use of the Site and/or the App.
About the Site
Through the Site, we aim to provide you with general information about our activities, products, and services. This may include:
1. Direct download links and/or download links to third-party application stores and/or download portals from which the App can be obtained. Please be aware that downloads from third-party sites, such as the Apple App Store and Google Play Store, may be subject to specific terms and conditions.
2. General information about the features and capabilities of the App.
About the App:
The App offers Users an interface to the Polygon and Solana blockchain, their digital currencies for requesting and receiving tokens from other Users or third parties within the Peer Ecosystem. Any such Deposit and Withdrawal
Features will be facilitated through third-party service providers and will be subject to the Know Your Customer process (“KYC”) and Anti-Money Laundering (“AML”) checks, as well as compliance with applicable laws, rules, and regulations. They may also be subject to specific additional terms and conditions.Please be aware that your usage of the App must always be in compliance with any relevant laws and regulations, as further detailed in these Terms.
Additionally, please note that Peer makes no representations and/or guarantees regarding the identity of any User, recipient, requester, or other third parties within or outside our App. Peer assumes no liability or responsibility for ensuring the accuracy and completeness of the information you provide.
About the Deposit and Withdrawal Features
Balances displayed on the USD or Crypto through the App are not held by Peer but are situated in the corresponding blockchain addresses. If we are unable to complete your transaction for any reason (such as price fluctuations or an order exceeding the maximum size), your order will be rejected, and we will notify you accordingly. You will not be charged for a rejected transaction.
Peer will charge a fee for providing the withdrawal/cash out features. These fees will always be displayed before confirming any top-up/withdrawal operation and must be accepted by the user before proceeding with the operation.
The use of the Services is subject to transaction volume limits that may apply in a given period (e.g., daily). Your transaction limits may vary depending on your payment method, verification steps completed, and other factors. Peer reserves the right to modify applicable limits at our sole discretion. To increase transaction limits or upon our request, we may require you to submit additional information and undergo Enhanced KYC (Know Your Customer) procedures. We retain the right to refuse to raise your limits or lower your limits, even if Enhanced KYC has been completed.
From time to time, we or our partners may provide you with information about third-party products and services, either through the Site and/or the App.
Peer is not a money transmitter and is not engaged in the business of money conversion or transmission services between third parties.
Peer acts as the data controller for the described transactions above.
Peer does not provide any form of trading services or financial advice. It is imperative to be aware that there is a significant risk of loss associated with holding Digital Assets or Virtual Assets. The value of Digital Assets and Virtual
Assets is subject to fluctuations, and there is a substantial risk of losing money both when purchasing these assets and simply by holding digital currencies. Please exercise caution and make informed decisions when dealing with digital and virtual currencies.
It is essential to carefully evaluate whether the purchase or holding of cryptocurrency is appropriate for you, taking into account your financial circumstances.
You acknowledge that Peer does not possess a deposit-taking license, which is akin to a banking license. Cryptocurrency balances maintained within the App do not constitute deposits.
User Registration and Identity Checking
Please review our privacy policy. By using the Site and the App, you are expressing your agreement to be bound by the terms and conditions of our privacy policy.
When registering for your Peer Account or upon our request, you consent to providing us with the information necessary for identity verification and the detection of activities such as money laundering, terrorist financing, fraud, and other financial crimes. You also permit us to maintain records of this information.
Your access to these features and the associated usage limits may change based on ongoing information collection about you. This information may encompass personal details like your name, address, phone number, email address, date of birth, taxpayer identification number, government identification, bank account information (including bank name, account type, routing number, and account number), financial background, and, where permitted by law, special categories of personal data, such as biometric information.
By providing us with this or any other required information, you affirm that the information is accurate and genuine. You also agree to keep us informed of any changes to the information you provide. You authorize us to conduct inquiries, whether directly or through third parties, as we deem necessary to verify your identity, safeguard you and/or us against fraud or financial crime, and take action based on the results of these inquiries. In this process, you acknowledge and agree that your personal information may be disclosed to credit reference agencies, fraud prevention or financial crime agencies, and that these agencies may respond to our inquiries in full. This is solely for identity verification and should not adversely impact your credit rating.
It's important to note that various countries have legal requirements that may limit the products and services Peer can lawfully provide. Consequently, certain products, services, and features within the Peer App and Site may not be accessible or may be restricted in specific jurisdictions or regions or to certain users. You are responsible for being informed about and adhering to any restrictions and requirements regarding access to and use of the Peer
Services in each country from which you or someone on your behalf accesses the Peer Services. Peer retains the right to change, modify, or impose additional restrictions on access to and use of the Peer Services at their discretion, without prior notification.
User Conduct
By using this Site and the services it provides, you agree to the following:
1. You will not use the Site or App in violation of any applicable law or regulation.
2. You will not disrupt or interfere with the security of the Site, or any services, system resources, accounts, servers, or networks connected to or accessible through the Site, App, or affiliated or linked websites. Any violations of system or network security may result in civil or criminal liability. Peer will investigate such violations, which may involve cooperating with law enforcement authorities in prosecuting users involved in such violations.
3. You will not disrupt or interfere with any other user's enjoyment of the Site or affiliated or linked websites.
4. You will not upload, post, or transmit any viruses or other harmful, disruptive, or destructive files through this Site or App.
5. You will not transmit spam, chain letters, junk mail, or any other type of unsolicited mass email to individuals or entities who have not agreed to receive such communications.
Additionally, you acknowledge that you are solely responsible for actions and communications made or transmitted under your account (if applicable). You agree to comply with all relevant local, national, and international laws and regulations in this regard.
Indemnification
You are solely responsible for the content of any messages or information you upload or transmit to Peer. You agree to indemnify and protect Peer against any claims, actions, demands, losses, or damages (including legal fees) made by or incurred by a third party. This includes claims arising from your conduct, your violation of this end-user agreement, or your violation of the rights of a third party.
For Marketing and Promotions:
With your consent, we may send you promotional and marketing communications, including information about products, services, and events.
Email Disclaimer
The information contained in all email messages, including documents and attachments, sent by an employee, electronic agent, or legal member of Peer is confidential and may be legally privileged. This information is intended solely for the individual(s) or entity to whom it is addressed. If you have received an email in error, please contact the sender immediately and delete the email, including any documents and attachments. Do not disclose the contents of this email to any other individual or make copies thereof.
Please be aware that internet communications are not guaranteed to be secure or error-free. Neither Peer nor the sender can accept liability for any errors or omissions in the content of messages that result from email transmission. If verification is required, please request a hard copy version.
Additionally, please be vigilant as email may contain viruses, and it is the recipient's responsibility to scan for and remove viruses. Peer or the sender will not be liable to anyone for any indirect, special, consequential, or direct damages arising from the transmission of email messages, the opening of email messages and their attachments, or any use thereof.
No employee is authorized to enter into a binding agreement on behalf of Peer via email without the express written confirmation of a Peer director. Nothing within such emails shall be interpreted as a legally binding agreement or an offer to contract.
Prohibited Transactions
You acknowledge and agree that the use of the App for accepting payments related to illegal products or services, including those infringing on third-party intellectual property rights, is strictly prohibited.
Furthermore, you shall not employ the App, the Peer Site, or any of their associated services for any unlawful, fraudulent, or improper activities. If Peer has reasonable grounds to suspect your involvement in fraudulent, unlawful, or improper conduct, including a breach of the terms and conditions of this Agreement, your access to the Service may be temporarily suspended or permanently terminated.
You are obligated to fully cooperate with Peer in the investigation of any suspected unlawful, fraudulent, or improper activities. Peer may share relevant data with regulatory authorities as required to facilitate inquiries into suspicious transactions.
Additionally, you shall refrain from impersonating a Peer User or a Peer representative, or from soliciting Peer customers for their passwords or any other information to gain access to their accounts.
Security and Access to your Peer Account
Peer dedicates significant efforts to ensure the security and integrity of your account by employing advanced systems. However, you must recognize that there's a trade-off between the robustness of these security systems and the user's convenience.
Access to your account within the App primarily relies on your user credentials. These credentials are tied to the email address and phone number you provided when creating your Peer user account.
It's your responsibility to keep both your email address and phone number, used for creating your Peer user account, updated and secure at all times.
You should be aware that if your email account and/or phone number associated with your Peer account are compromised, you risk losing any funds in your Peer account, along with information or assets in any third-party accounts linked to your Peer user account.
In case you suspect that your user credentials have been or may have been compromised, or if someone has initiated unauthorized transactions from your account, you must promptly contact us. Please note that Peer has a limited set of actions it can take in the event of email and/or phone number compromise, primarily involving mitigative measures like account freezing.
It's essential to understand that Peer does not provide any guarantee or indemnification in the case of Peer User account hacking or compromise.
Fees and Limits
You are aware that Peer may impose fees for using its services. These fees will be clearly outlined in the Apps and might undergo periodic changes.
Your agreement to this contract signifies your acceptance of these fees, including any future alterations.Peer takes care of end users' network fees for each transaction, and these fees are calculated and incorporated into the total amounts you handle.
Limitation of Liability
Peer has made reasonable efforts to ensure the accuracy and completeness of the content on this site while minimizing potential user losses or damages.
Under no circumstances, including negligence, shall Peer or its parents, subsidiaries, affiliates, officers, directors, employees, agents, suppliers, or any other parties involved in creating, producing, transmitting, or distributing Peer or related services be held liable for any indirect, incidental, special, consequential, or punitive damages related to the use or inability to use Peer or its content.
This includes damages like lost profits, use, data, or other intangibles, even if Peer has been warned of the possibility of such damages.
Peer will not be held liable for actions or transactions carried out by an individual with your user credentials, with your consent or knowledge. This limitation also covers issues related to computer hardware, software, telephones, or internet service providers beyond Peer's direct control.Regarding any products or services obtained through Peer, the user acknowledges that Peer is merely a service that connects buyers and sellers. Peer does not take responsibility for the quality, reliability, safety, suitability, or any other aspects of a product or service purchased via the platform.
Peer is not liable for any fraudulent, deceptive, or misleading actions by users of the service.In no event will Peer be held liable for acts or omissions of third parties (e.g., telecommunications service providers, internet access providers, computer equipment or software providers) or for circumstances beyond Peer's control (e.g., natural disasters, war, strikes, equipment failures, computer viruses, utility service interruptions).
In jurisdictions where limitations on liability for incidental or consequential damages are not allowed, liability is restricted to the maximum extent permitted by law.
User's Liability to Peer
In the event Peer takes action against you due to a breach of these terms of use, you agree to reimburse Peer for all legal costs, including tracing fees and collection commission, on a scale between attorney and client.
If you have a dispute with one or more Users, you agree to release Peer from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
You agree to indemnify Peer, defend Peer, and hold Peer harmless from and against any and all claims, liabilities, and expenses, including attorney's fees, arising from your use of the platform and the services, including but not limited to your violation of these Terms.
Force Majeure
If Peer is unable to perform the Services outlined in the Terms due to factors beyond our control, including but not limited to an event of Force Majeure, a change in law, or a change in sanctions policy, we shall not be liable for the Services provided under this agreement during the time period coincident with the event.
Transfer
We may transfer our rights and obligations under the Terms, which are not subject to regulatory oversight by the regulatory authorities supervising our activity, to other entities of the Peer group of companies. Any transfer of the rights and obligations of Peer to other entities will be binding upon you. If you do not consent to any transfer, you may terminate this agreement and close your Account.
Applicable Law
The terms and conditions pertaining to any products or services appearing on this site or pages shall be governed and interpreted in accordance with the laws of the state of Panama. Use of the service offered on this site or pages will constitute the user's consent and submission to the jurisdiction of the Panama courts regarding all proceedings, transactions, applications, or the like instituted by either party against the other, arising from any of the terms and conditions pertaining to this site or such products or services.
The User Agreement has been drafted in the English language. The English version of this Agreement is the governing version and shall prevail whenever there is any discrepancy between the English version and any other version.
Age Restriction
You must be at least 18 years of age to use our services. By accessing or using our services, you affirm that you are of legal age to enter into this Agreement. If you are under 18 years of age, you are prohibited from using our services. We do not knowingly collect or maintain personal information from individuals under the age of 18. Termination
Notwithstanding any of these terms and conditions, Peer reserves the right, without notice and in its sole discretion, to terminate your license to use this Site, and to block or prevent future access to and use of this Site.
Severability
If any provision of this end-user agreement is held to be invalid, void, or for any reason unenforceable, then that provision shall be deemed severable from this end-user agreement and shall not affect the validity and enforceability of any remaining provisions.
